08:15 - 10:30 - Forming Your Company - Incorporating

Have you been thinking about incorporating a business but not sure how to go about it? Have you already started doing business but haven’t incorporated or skipped a few steps in the process? Or, if you have already formed your business, are you struggling with issues relating to employees or contractors? If so, this hands-on, intense one-day workshop is for you! Since this is a BizWorkshop, you’re not just going to leave with vital information, but actual completed documents and takeaways you can use to make progress.

During this session, you will receive critical information on the various options and decisions to be made in forming a corporation, with both legal and tax considerations. You will leave the workshop with an understanding of Limited Liability Companies (LLCs), S-Corporations, C-Corporations, and even the new B-Corporation. In addition, you will get a hands-on look at operating and shareholder agreements and get a template starting point for both.

Learn about the various business forms including LLCs, S-Corporations, C-Corporations, and even the new B-Corporation.

Learn about tax considerations for these different corporate structures and their equity incentives.

Learn about necessary corporate formation supporting documents, why they are important, and how to protect owner / shareholder interests.

10:45 - 1:00 - Raising Capital - The Ins and Outs (With a Working Lunch)

During this session, you will receive critical instruction and get your hands on actual documents that help you deal with some of the most important legal issues a startup or small business enterprise will encounter. You will learn the basics of financing your business through debt and equity transactions, while reviewing sample term sheets and related documentation. You will also learn about recent trends in fundraising and how the JOBS Act will change the landscape for startups and small businesses.

What you need to know about debt financings.

We will review a term sheet and loan document for a line of credit, focusing on a loan transaction from the borrower's perspective.

You will walk away with a solid foundation on the issues you need to understand before you borrow from a bank to fund your business' growth.

Learn about Angel financings and how they fill the gap between traditional debt and equity financing

We will review a term sheet and sample documents for a convertible note Angel financing

What you need to know about Venture Capital financings.

We will review in depth a term sheet and sample documents for a Series A Venture Capital financing.

We will uncover the mystique of Venture Capital financings and prepare you for negotiations with investors.

Discussion of alternatives to debt and equity financing for business growth.

Learn how the JOBS Act is designed to spur increased investment in startups.

Crowdfunding: What does it mean to your business?

1:00 - 3:00 - 15 minute Scheduled Breakouts - Form your company*

Sign up for these on a first-come, first-served basis. During these sessions, a paralegal will form your company as an LLC or S-Corp in Maryland or Delaware. Note that filing fees are not included and most likely you'll need additional time with the lawyers to prepare a proper Operating Agreement or Shareholder Agreement and consents. They will advise you as to what you need and costs before you incorporate.

08:15 - 10:00 - Fundamental Contracts - Employees, Contractors, Suppliers

In this session, you will learn about the legal necessities in working with employees and contractors. Learn about key differences and requirements between employees and independent contractors. We will walk through a template agreement for independent contractors, and take a look at employment agreements and post employment restrictions with a template as a take away. We will also take a close look at Non-Disclosure Agreements (NDAs) and Non-Compete Agreements.

Aronson LLC - Alan Langelli

Alan Langelli is a Senior Manager in Aronson LLC’s Technology Industry Services Group. He provides comprehensive assurance and consulting services to a diverse group of companies operating in the high tech, biotechnology/life sciences, e-commerce and software spaces. He graduated with a Bachelor’s Degree in Finance and Accounting from Geneva College and is an active member of the AICPA. Alan is also active with the Tech Council of Maryland, MAVA and NVTC.

Diversified Insurance - Melissa Burk

Melissa Burk has been a licensed Property and Casualty and Life and Health Insurance Broker since 1995. She is a Certified Insurance Counselor (CIC), is currently in the process of earning the Certified Risk Manager (CRM) designation, and is pursuing the Certified Information Privacy Professional/United States (CIPP/US) certification. Melissa spent the first several years of her career in a Marketing capacity with the responsibility of creating tailored insurance programs for a large variety of clients spanning many industries and geographical territories. After spending a year exploring the carrier side of the business with The Hartford, Melissa rejoined the agency side of the business, but with a client focus. Drawing on her experience, Melissa works with clients to identify, analyze, control, transfer and manage their risk and utilizes her superior carrier relationships to provide the best possible coverage and terms to her clients. In recent years, Melissa has developed a specialty in the areas of technology and cyber liability insurance after identifying that this segment was underserved by the insurance industry and she is committed to helping technology businesses and those with cyber liability exposures properly protect themselves. Melissa holds a B.A. in Marketing from Loyola College in Baltimore and resides in Freeland, MD with her husband and two children.

Jim Gibbons began his investment career as a financial advisor in June of 1998 at Ferris, Baker Watts in Baltimore working with individual investors and local institutions. From these early days began his first understandings for the need for another perspective in managing investments and began studying technical analysis including; trend analysis, point and figure charting, relative strength, and tactical allocation. Jim is an Associate Member of the Market Technicians Association in New York. He has written many articles on investing which were published in the Capital-Gazette and is co-host of the “Annapolis Money Report” on both WBIS 1190 and WNAV 1430.
